These Terms of Service ("Terms") are a binding agreement between you and Clip Collective, LLC ("Clip Collective," "Coda," "we," "us," or "our"). They govern your access to and use of Coda, which appears in the App Store as Edit Coda, including the Coda apps for iPhone, iPad, and Mac, our website at editcoda.com, and related services (together, the "Service").

Please read these Terms carefully. They include disclaimers of warranties, a limitation of liability, and an agreement to resolve most disputes through individual binding arbitration, with a class action and jury trial waiver (Sections 18 to 20). You can opt out of arbitration within 30 days, as Section 18 explains.

By creating an account, purchasing a subscription or credit, uploading content, or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. Coda is a professional tool. It is not directed to children, and no one under 18 may create or use an account. We may use age information provided by Apple to confirm eligibility.

If you use the Service for a company, studio, or other organization, you represent that you have authority to bind it, and "you" includes that organization.

You must give accurate information, keep your credentials secure, and tell us promptly about any unauthorized use. You are responsible for activity under your account and for the teammates you invite. You may not share credentials to get around plan or seat limits.

You can sign in with Sign in with Apple or with an email address and password. Accounts created with different sign-in methods stay separate, even if they use the same email address.

2. What Coda is

Coda is a video-editing tool for wedding content creators. You upload photos, videos, and music and choose your preferences, and Coda’s software assembles and renders reels from your material, at your direction. Every reel is one you create and direct. No Coda employee edits or reviews your reels before they are made available to you.

Coda may let you preview a wedding for free, with a watermark and other limits. A subscription or wedding credit is required to unlock additional weddings, exports, features, or quality levels.

Automated editing is imperfect. It may make mistakes, leave out moments, crop footage imperfectly, or produce results you don’t like. Review every reel before you publish it, deliver it to a client, or rely on it.

Coda does not promise that a reel will meet any particular artistic, contractual, platform, music-licensing, or legal requirement.

3. AI footage analysis

To build your reels, Coda uses automated analysis, including Google’s Gemini API, to understand your footage. Before any of your footage is sent, Coda asks for your permission in the app. Coda needs this permission to make reels. If you decline, nothing is sent, and Coda can’t make new reels until you allow it. Our Privacy Policy explains what is sent and how it is protected.

Coda does not use facial recognition, face matching, biometric identification, or emotion recognition, and it does not identify the people in your footage.

You may not use the Service, or any analysis it produces, to make decisions about a person’s employment, housing, credit, education, insurance, health care, legal rights, or similarly significant matters, or to identify, profile, surveil, or infer sensitive characteristics about anyone in your footage.

4. Your content and our license

What you own. You keep ownership of the photos, videos, audio, music, instructions, project details, and other material you upload ("User Content"), and of the reels you create, subject to the rights of others in the underlying material.

The license you give us. You grant Clip Collective a limited, nonexclusive, worldwide, royalty-free license to host, store, copy, transmit, transcode, analyze, modify, synchronize, render, display, and deliver your User Content only as reasonably necessary to:

  • provide, maintain, secure, and support the Service;
  • create the previews and reels you request;
  • make content available to teammates and to the people you choose to share with;
  • improve and develop the Service, including training and improving Coda’s own editing models;
  • use service providers that act on our behalf under contractual restrictions; and
  • comply with law and these Terms.

How long it lasts. This license ends for each item of User Content when that item is deleted from our active systems, as described in Section 11 and our Privacy Policy. What survives is narrow: copies in backups until they cycle out, copies we must keep by law or reasonably need for a legal claim, de-identified or aggregated information, improvements already made to our models, and anything you have already downloaded or shared.

What we don’t do. We do not claim ownership of your User Content. We do not sell your User Content, use it for advertising, or let third parties train their AI models on it. When we use it to improve Coda’s own editing models, we never use it to recognize faces or identify anyone, and your footage never appears in anyone else’s reels. We will not use your footage or reels in our marketing or public portfolio without your separate permission, which you are free to decline.

Usage data. We collect and analyze information about how the Service is used, such as feature usage, performance, and editing signals like which suggested clips you keep, change, or relabel ("Usage Data"), to operate, secure, and improve the Service. We may also create de-identified or aggregated information that does not identify you or anyone else. We own Usage Data and de-identified or aggregated information and may use them for any lawful purpose consistent with our Privacy Policy.

Our property and your license to use Coda. The Service, including its software, models, prompts, designs, and editing methods, and all related intellectual property, belongs to Clip Collective and its licensors. Subject to these Terms, we grant you a limited, nonexclusive, non-transferable, revocable license to use the Service to create and share your own reels. All rights not expressly granted are reserved.

5. The people and music in your footage

Your permissions. You represent and warrant that you have all rights, licenses, permissions, notices, and consents needed to upload, process, edit, store, and share your User Content as these Terms describe, including rights in the footage, performances, voices, likenesses, locations, trademarks, and music it contains.

People in your footage. Wedding footage often includes people who are not Coda users, including guests and children. You are responsible for your relationships with the people you film and for giving any notices and obtaining any permissions that law, your contracts, venue rules, or your professional obligations require. Coda does not require a written release from every person in every background shot when the law does not require one. But these Terms do not create any permission you don’t already have, and they do not give you authority to license or waive a right that belongs to someone else.

Your clients. If you are a videographer, content creator, studio, or agency, you are responsible for complying with your client agreements, releases, and privacy obligations, including requests from the people you film. A separate Data Processing Addendum may apply when Coda processes personal data on behalf of an eligible business customer. To request one, contact us.

If you appear in footage. If you are not a Coda user and believe content on the Service infringes your privacy, publicity, copyright, or other rights, or shows your child, contact hello@editcoda.com with enough information for us to find it. We may ask the account holder to respond, and we may remove or restrict content where appropriate.

Bring your own music. Coda does not provide a licensed music library. You choose and upload the music for your reels. Owning a song or having a streaming subscription does not give you the right to put it in a video, copy it, distribute it, perform it publicly, or use it commercially. You represent and warrant that you hold every right your intended use requires, including composition, master recording, synchronization, reproduction, distribution, performance, and platform rights. You are responsible for any claim, takedown, muted audio, blocked post, or lost monetization that results from your music choice.

6. Workspaces, links, and sharing

Workspace owners can invite teammates and assign available roles. Depending on their role, teammates may see every wedding in the workspace, including its footage, project details, and reels, and may upload footage and make reels. You are responsible for who you invite, for removing access when appropriate, and for your teammates following these Terms. The workspace owner’s plan sets the limits for the workspace.

Coda provides unlisted links to finished reels. Links are long and randomly generated, and we don’t publish them or intend them to be indexed by search engines. They are not password protected, though: anyone who has a link can watch or download that reel. Treat any link you share as public. You control who receives your links and are responsible for having any permission needed before you share a reel.

7. Subscriptions, credits, and purchases

Apple processes all purchases. Coda offers subscriptions and consumable wedding credits through Apple’s in-app purchase system. Apple processes payment, and we never receive your full payment card details. The price, billing period, and what’s included, such as weddings per month, reels per wedding, export quality, and team seats, are shown before you buy and form part of these Terms.

Subscriptions renew automatically. Payment is charged to your Apple Account when you confirm the purchase. A subscription renews automatically for the same period unless you turn off auto-renew at least 24 hours before the end of the current period, and your Apple Account is charged for renewal within the 24 hours before the current period ends. You can manage or cancel subscriptions in your Apple Account settings. Canceling stops future renewals. It does not refund the current period, except where Apple or applicable law provides otherwise.

Price changes. We may change subscription prices. Apple will notify you of price increases and, where required, ask for your consent before a new price applies.

Wedding credits. A wedding credit unlocks one wedding as described at purchase. Credits are limited licenses, not currency or property. They have no cash value and cannot be transferred or resold. We may correct credits issued in error or through fraud, or reversed by a refund or chargeback.

Refunds. Refunds are handled by Apple under its policies. Deleting your Coda account does not cancel an Apple subscription, so cancel through Apple first if you don’t want to be charged again. Nothing in these Terms limits any consumer right that cannot be waived.

8. Acceptable use

You may not use the Service to:

  • upload, create, or share unlawful, infringing, defamatory, abusive, exploitative, deceptive, or nonconsensual intimate material;
  • exploit or endanger a child, or upload child sexual abuse material;
  • violate anyone’s privacy, publicity, intellectual property, contractual, or other rights;
  • impersonate any person, misrepresent your affiliation, or present AI-edited media in a deceptive or unlawful way;
  • introduce malware, probe or break security, disrupt the Service, or get around usage limits or access controls;
  • copy, decompile, reverse engineer, or otherwise try to discover the source code, models, prompts, or underlying methods of the Service, except to the limited extent the law makes this restriction unenforceable;
  • use bots, scrapers, or other automated means to access the Service or extract its content or outputs, except through features we provide;
  • resell or sublicense access, or use the Service or its outputs to build or train a competing product or model; or
  • violate sanctions, export controls, or the rules of any platform you publish to.

We may remove content, restrict features, preserve information, suspend processing, or suspend or close accounts when reasonably necessary to enforce these Terms, protect people or systems, comply with law, or address infringement or abuse.

9. Feedback

If you send us ideas, suggestions, or other feedback about the Service, you grant Clip Collective a worldwide, perpetual, irrevocable, royalty-free license to use it for any purpose, without obligation to you. This does not give us any rights in your User Content.

10. Copyright complaints

We respect intellectual property and respond to notices of claimed infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). To report material on the Service that you believe infringes your copyright, send a written notice to our designated agent that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work you believe was infringed;
  • identification of the material you believe is infringing, with enough detail for us to locate it;
  • your name, postal address, telephone number, and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  • a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act for the copyright owner.

Designated agent: Clip Collective, LLC, Attn: Nathan Scarbrough, 211 N Maple St, Covington, TN 38019. Telephone: 615-939-2146. Email: hello@clipcollective.com.

If your material was removed and you believe it was a mistake or misidentification, you may send a counter-notice as the DMCA provides. We terminate the accounts of repeat infringers in appropriate circumstances. Knowingly submitting a materially false notice or counter-notice may make you liable for damages.

11. Deletion and retention

You can delete individual weddings, and you can delete your account in the app. Deleted weddings can be restored for 30 days from Recently deleted and are then permanently deleted. Deleting your account permanently deletes your account, weddings, footage, and reels from our active systems, except for limited information we must keep for legal, tax, accounting, fraud-prevention, security, or dispute purposes. Copies in backups are deleted as backups cycle out.

Raw footage is deleted automatically after 30 days without activity on its wedding. Project analysis and finished reels stay available until you delete the wedding or your account.

Deletion cannot recall reels or links that have already been downloaded, copied, or shared. Keep your own copies of source footage and final deliverables. Apple keeps its own purchase records.

12. Suspension and termination

You may stop using Coda at any time. We may suspend or end your access if you materially breach these Terms, create security or legal risk, fail to pay, or abuse the Service, or if continuing to provide the Service is no longer commercially or technically feasible. When practical, we will give notice and a reasonable opportunity to download your finished reels, but we don’t have to when immediate action is necessary.

Sections that by their nature should survive termination will survive, including ownership, licenses that survive under Section 4, payment obligations, warranties, disclaimers, indemnification, limits on liability, and the dispute terms.

13. Changes to the Service

We may add, change, suspend, or remove features, providers, plans, storage practices, or technical requirements. We don’t guarantee uninterrupted availability, permanent storage, compatibility with every file or device, or preservation of every project. If we discontinue the Service, we will give reasonable advance notice when practical and an opportunity to download your finished reels.

14. Third-party services and platforms

The Service relies on and links to third-party services that we don’t control, including Apple and the platforms where you publish your reels. Their own terms and policies apply to your use of them. A platform may restrict, mute, remove, demonetize, or reformat your content under its own rules or automated systems, and we are not responsible for those decisions or for third-party websites, content, or practices.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL REELS AND OTHER OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." CLIP COLLECTIVE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR NEEDS OR THOSE OF YOUR CLIENTS. WE MAKE NO WARRANTY AS TO THE CREATIVE MERIT, ORDERING, COMPLETENESS, OR SUITABILITY OF ANY REEL. YOU ASSUME THE RISK OF USING, PUBLISHING, DELIVERING, OR RELYING ON ANY OUTPUT.

Nothing in this section affects any warranty that cannot be excluded or limited under applicable law.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIP COLLECTIVE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, OR OPPORTUNITIES, EVEN IF ADVISED OF THEIR POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) 100 U.S. DOLLARS.

NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR OUR WILLFUL MISCONDUCT, OR FOR ANY OTHER LIABILITY THAT APPLICABLE LAW DOES NOT ALLOW TO BE LIMITED.

Some jurisdictions do not allow certain exclusions or limits. In those jurisdictions, these provisions apply only to the extent the law permits.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Clip Collective and its affiliates, officers, employees, contractors, and service providers from third-party claims, and related damages, judgments, settlements, penalties, costs, and reasonable attorneys’ fees, arising from: your User Content, including the people and music in it; your use, delivery, or sharing of a reel; your professional services and client relationships; your violation of these Terms or applicable law; or your infringement or violation of another person’s rights.

This obligation applies only to third-party claims and only to the extent they arise from your conduct. It does not apply to the extent a claim was caused by our gross negligence, willful misconduct, or violation of law. We will notify you promptly of a claim and reasonably cooperate, at your expense. You may not settle a claim in a way that imposes obligations on us without our consent.

18. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights.

(a) Try to resolve it informally first. Before starting an arbitration or court case, the party with a dispute must send the other a written notice describing the dispute and the relief requested, including any amount claimed. Send notices to us at hello@editcoda.com with the subject "Legal Dispute Notice," and to the mailing address in Section 26. We will send ours to the email address on your account. We will both try in good faith to resolve the dispute for 30 days after a complete notice is received. If it isn’t resolved, either party may request non-binding mediation, held by video or phone unless both agree otherwise, and we will pay the mediator fees a business must pay under the applicable American Arbitration Association consumer rules. If a mediator hasn’t been chosen within 45 days after the 30-day period ends, or mediation hasn’t concluded within 90 days after it, either party may proceed. Limitation periods are paused from the date a complete notice is received until then.

(b) Binding arbitration. Except as described below, any dispute arising out of or relating to these Terms or the Service that isn’t resolved under (a) will be resolved by final, binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. Any in-person hearing will take place in the county where you live or in Shelby County, Tennessee, at your choice, and you may choose to proceed by phone, video, or written submissions where the rules allow. Judgment on the award may be entered in any court with jurisdiction.

(c) Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property rights.

(d) Costs. We will pay all AAA filing, administration, and arbitrator fees, whoever starts the arbitration, except that the arbitrator may reallocate fees as the AAA rules allow if a claim or defense is frivolous. Each party otherwise bears its own attorneys’ fees unless applicable law provides otherwise.

(e) Your right to opt out. You may opt out of this arbitration agreement by emailing hello@editcoda.com within 30 days after you first accept these Terms. Include your name, the email address on your account, and a clear statement that you opt out of arbitration. If we materially change this arbitration agreement, a new 30-day opt-out period starts when we notify you of the change. Opting out does not affect any other part of these Terms.

(f) Who decides. Except for disputes about Section 19 or the individual-basis requirement, which a court will decide, the arbitrator has exclusive authority to decide questions about the interpretation, applicability, enforceability, or scope of this arbitration agreement.

(g) Public injunctive relief. If applicable law gives you a right to seek public injunctive relief that cannot be waived, that request will be severed and decided by a court, and it will be stayed until the arbitration ends unless the court orders otherwise.

(h) If the class waiver fails. If Section 19 is found unenforceable for a particular claim or request for relief, that claim or request, and only that one, will be decided in court and not in arbitration.

(i) Survival. This section survives termination of these Terms.

19. Jury trial and class action waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND CLIP COLLECTIVE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY, AND ONLY TO THE EXTENT NEEDED TO RESOLVE THAT PARTY’S CLAIM.

20. Time limit for claims

TO THE EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIMING PARTY KNEW, OR REASONABLY SHOULD HAVE KNOWN, OF THE FACTS GIVING RISE TO IT, OR IT IS PERMANENTLY BARRED.

This section applies equally to both parties. It does not apply to any claim under a law whose limitation period cannot be shortened by agreement.

21. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 18. Any claim that is not subject to arbitration will be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and both parties consent to the personal jurisdiction of those courts. This does not prevent you from bringing an individual claim in small claims court where you live, and it applies unless applicable consumer law requires a different forum.

22. Apple App Store terms

These Terms are between you and Clip Collective only, not Apple Inc. ("Apple"). If you downloaded the app from the App Store:

  • License. Your license to use the app is limited to Apple-branded products that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where available.
  • Maintenance and support. We, not Apple, are solely responsible for the app and its content and for any maintenance and support. Apple has no obligation to provide maintenance or support for the app.
  • Warranty. To the extent any warranty applies and is not effectively disclaimed, we, not Apple, are responsible for it. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws.
  • Intellectual property. If a third party claims that the app, or your possession and use of it, infringes that party’s intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling, and discharging the claim.
  • Legal compliance. You represent that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
  • Third-party terms. You must comply with any applicable third-party terms when using the app, such as your wireless data service agreement.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right to enforce them against you as a third-party beneficiary.

Our contact details for questions, complaints, or claims about the app are in Section 26.

23. Changes to these Terms

We may update these Terms. We will post the updated Terms with a new effective date and, for material changes, give you notice in the app or by email. Changes apply going forward. If you keep using the Service after the effective date, you accept the updated Terms, except where applicable law requires your express consent. A material change to Section 18 starts a new opt-out period, as described there.

24. General terms

Entire agreement. These Terms, our Privacy Policy, the purchase terms shown when you buy, and any Data Processing Addendum we sign with you are the entire agreement between you and us about the Service, and they replace any earlier agreements about it. If these Terms conflict with purchase terms shown and accepted at checkout, the checkout terms control for that purchase. Our Privacy Policy controls on how we handle personal information.

Severability and waiver. If any provision is found unenforceable, it will be limited to the minimum extent necessary, and the rest of these Terms stays in effect. Our failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, financing, or sale of assets, or by operation of law.

Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control, including outages at third-party providers, natural disasters, epidemics, war, terrorism, labor disputes, government action, and failures of utilities or networks.

Rights that cannot be waived. Nothing in these Terms excludes or limits any right or remedy that applicable law does not allow to be excluded or limited.

Relationship and third parties. We are independent parties, and these Terms create no agency, partnership, joint venture, or employment relationship. Except for Apple under Section 22, these Terms give no rights to any third party.

Electronic communications. You agree to receive notices and other communications from us electronically, and they satisfy any legal requirement that communications be in writing. Headings are for convenience only, and "including" means "including without limitation."
